These Terms of Service (“Terms”) govern your participation in Net Impact account, your use of Net Impact’s websites, community platforms, the Net Impact App, AI-supported tools, and all related programs, events, and services (collectively, the “Services”).
These Terms form a binding agreement between you and Net Impact, a U.S. 501(c)(3) nonprofit organization.

You must read these Terms carefully before creating an account or using any of the Services.

1. Introduction & Acceptance of Terms

1.1 Contractual Agreement
By creating a Net Impact account or accessing any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Net Impact Privacy Policy, and any program-specific guidelines referenced herein.

To proceed with registration, you must affirmatively accept these Terms by selecting the checkbox labelled:
“I agree to the Net Impact Account Terms of Service and Privacy Policy.”
This checkbox is presented blank by default, and you must manually select it to continue.

1.2 Who These Terms Apply To
These Terms apply to all individuals who:

  • Create a Net Impact account;


  • Use the Net Impact App or any AI-supported features (including Nia);


  • Engage with Net Impact’s online communities, including the Net Impact Community Platform (NICP);


  • Interact with Net Impact communications, resources, or digital tools.


Local Net Impact chapters operate independently. While these Terms govern your relationship with Net Impact Global, chapters may set additional local policies. Where a chapter collects data or operates independently managed systems, its own terms may apply.

1.3 Updates to These Terms
Net Impact may revise these Terms periodically to reflect changes in the law, organizational needs, security requirements, or new features within the Services.
When updates are material, Net Impact will provide notice through email, platform notifications, or a prominent notice on our website.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and may request deletion of your account.

1.4 Additional Policies Incorporated by Reference
The following policies form part of these Terms:

  • Net Impact Privacy Policy


  • Net Impact Code of Conduct


Using the Services constitutes acceptance of these policies.

1.5 If You Are Under 16
The Services are not intended for individuals under the age of 16. If you are under 16, you may not create an account or use the Services. If Net Impact learns that a minor under 16 has registered, Net Impact will take steps to revoke access and delete the associated data.

1.6 If You Register on Behalf of an Organization
If you create or manage an account on behalf of your employer, organization, or a chapter, you represent and warrant that you have the authority to accept these Terms on their behalf. You remain responsible for ensuring compliance with these Terms.

2. About Net Impact and Scope of Account

2.1 About Net Impact
Net Impact is a global nonprofit organization committed to empowering students and professionals to build a more just and sustainable world. Account provides access to community networks, programs, events, professional development resources, the Net Impact App, and AI-supported tools designed to help members grow, connect, and lead impact-driven careers.

2.2 Scope of the Services Covered by These Terms
These Terms apply to your use of all Services provided by Net Impact, including but not limited to:

  • Net Impact websites and subdomains


  • The Net Impact App and any AI-supported tools (including Nia)


  • The Net Impact Community Platform (NICP)


  • All member directories, mentorship tools, and matching features


  • Leadership resources, and community forums


  • Virtual, hybrid, and in-person Net Impact events


  • Email and in-product communications, including personalized content


  • Any digital learning, fellowship, or professional programs hosted or delivered by Net Impact


These Terms also apply to any new features or services introduced in the future unless otherwise stated.

2.3 Local Chapter Structure and Autonomy
Net Impact operates a global network of professional and student chapters. Each chapter is an independently operated entity that sets its own programming, governance, events, and communications.
While Net Impact Global establishes standards, branding, and support, chapters:

  • May operate their own systems or communication channels


  • May collect additional member information


  • May impose local conduct, participation, or leadership requirements


Where a chapter operates independently managed systems or collects data outside Net Impact platforms, those activities may be subject to additional local terms and privacy notices.

2.4 Relationship with Partners and Program Hosts
From time to time, Net Impact partners with universities, employers, fellowship sponsors, and other mission-aligned organizations to deliver programs and events. These partners may have their own terms, consent requirements, or policies.
If you participate in a partner-operated program, you may be required to agree to additional terms as a condition of participation.

2.5 Changes to the Services
Net Impact continuously evolves its offerings. You acknowledge that:

  • Features, tools, content, and programs may change over time


  • Net Impact may add, remove, or modify Services at its discretion


  • Net Impact may discontinue or transition certain programs or benefits


Where a change materially affects your account experience, Net Impact will provide reasonable advance notice.

2.6 No Guarantee of Specific Outcomes
Your Account provides opportunities, resources, and community, but:

  • Net Impact does not guarantee job placement, mentorship matches, event availability, or specific program outcomes


  • Participation levels, benefits, and access may vary by account tier or region


Your account does not create an employment, partnership, fiduciary, or joint venture relationship with Net Impact.

3. Eligibility & Account Registration

3.1 Eligibility Requirements
To create a Net Impact account or access the Services, you must:

  • Be at least 16 years old;


  • Have the legal capacity to enter into a binding agreement;


  • Provide accurate and complete information during registration; and


  • Use an email address you personally control.


If Net Impact determines that you are under 16 or otherwise ineligible, your account may be suspended or deleted.

3.2 Accurate Information and Representations
You agree that all information you provide when creating or managing your account must be complete, current, and accurate.
You may not:

  • Use another person’s name, email address, or identity;


  • Misrepresent your affiliation with any organization or chapter;


  • Create an account on behalf of someone else without proper authority.


If you are registering on behalf of an employer, university, chapter, or other organization, you represent and warrant that you are authorized to accept these Terms for that organization.

3.3 Account Security and Access Control
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account.
You agree to:

  • Use strong, unique passwords;


  • Keep your login credentials secure;


  • Log out of shared devices; and


  • Notify Net Impact immediately of any suspected unauthorized access or security incident.


Net Impact is not liable for losses arising from unauthorized access caused by your failure to secure your account or device.

3.4 One Individual per Account
Your account is personal to you.
You may not:

  • Share your account with others;


  • Permit others to access Services using your credentials;


  • Create multiple personal accounts unless explicitly authorized.


3.5 Verification and Compliance Checks
Net Impact may request additional information to verify your identity, eligibility, chapter affiliation, or compliance with these Terms. This may include:

  • Email verification;


  • Student or professional status confirmation;


  • Chapter leadership verification;


  • Compliance checks for Code of Conduct concerns.


Failure to provide requested information may result in account limits or suspension.

3.6 Accuracy of Professional and Public Profile Information
If you provide professional information (such as job title, employer, LinkedIn profile, or sector), you confirm this information is truthful and not misleading.
Where your information appears in the member directory or AI-supported tools, Net Impact will only display the information you have supplied or linked to your account.

3.7 Changes to Account Information
You agree to promptly update your account information if it becomes inaccurate or outdated. Inaccurate information may affect your participation in programs, event eligibility, and how you appear in member-facing tools (including the AI-supported directory).

4. Member Responsibilities & Community Expectations

4.1 General Standards of Conduct
As a Net Impact member, you agree to engage with the community in a manner consistent with Net Impact’s mission, values, and professional standards. Your participation in any Service—online, in-person, hybrid, or through the Net Impact App—must reflect respect, integrity, and accountability.

4.2 Respect for Others
You agree to treat all members, partners, staff, speakers, volunteers, and participants with courtesy and respect, regardless of differing backgrounds, viewpoints, or levels of experience.
You must not engage in conduct that demeans, marginalizes, intimidates, or harms others.

4.3 Professionalism in All Interactions
Whether participating in discussions, engaging in mentorship, attending events, or using online tools, you must act with professionalism. This includes:

  • Using appropriate language;


  • Being constructive in disagreement;


  • Avoiding disruptive behaviour;


  • Following instructions provided by Net Impact or event hosts.


4.4 Safe and Positive Community Engagement
You must contribute to a safe and inclusive community by:

  • Encouraging equitable participation;


  • Leaving space for others to speak;


  • Avoiding excessive self-promotion;


  • Respecting boundaries in communication;


  • Refraining from unsolicited or intrusive contact.


Net Impact may moderate or limit participation where necessary to protect the community.

4.5 Honesty and Authenticity in Participation
You must represent yourself accurately.
You may not:

  • Impersonate any other person;


  • Misrepresent your skills, interests, or affiliations;


  • Provide false details for the purpose of gaining access to opportunities or programs.


4.6 Use of Net Impact Services for Intended Purposes Only
You agree to use the Services—including the Net Impact App, AI-assisted tools, directories, and community forums—only for lawful and mission-aligned purposes.
Prohibited conduct includes:

  • Attempting to harvest member data;


  • Soliciting for unrelated commercial purposes;


  • Using automated tools to crawl or scrape content;


  • Attempting to bypass security mechanisms;


  • Posting harmful or inappropriate content.


4.7 Compliance with All Applicable Policies
Your participation must comply with:

  • These Terms of Service;


  • The Net Impact Privacy Policy;


  • The full Net Impact Code of Conduct (Chapter 5);


  • Program- or event-specific requirements;


  • Local chapter rules, where applicable.


Violations may result in moderation, suspension, or termination of account.

4.8 Responsibility for Your Contributions
You are solely responsible for any content, messages, or materials you submit through the Services. You represent that your contributions do not infringe any rights, violate laws, or breach confidentiality obligations.

4.9 Duty to Report Concerns
If you experience or witness misconduct, harassment, safety issues, or violations of these Terms, you agree to notify Net Impact promptly using the reporting channels described in the Code of Conduct and Privacy Policy.

5. Code of Conduct

5.1 Purpose and Applicability
The Net Impact Code of Conduct (“Code of Conduct”) forms a binding part of these Terms. It applies to all members and participants engaging with Net Impact’s Services, including:

  • Net Impact account and community platforms


  • Programs, fellowships, and leadership activities


  • Virtual, hybrid, and in-person events


  • Interactions within the Net Impact App, NICP, AI-supported tools, and communication channels


  • Any activity where a member represents Net Impact or a Net Impact program


All participants are expected to follow this Code at all times.

5.2 Expected Standards of Conduct
You must conduct yourself with professionalism, respect, and integrity. This includes:

  • Treating peers, staff, partners, and community members with respect


  • Engaging constructively and listening to others


  • Using inclusive language


  • Avoiding insulting, belittling, or demeaning comments


  • Remaining mindful of how often and how long you speak in group settings


  • Making space for others to contribute


5.3 Applicability Across Contexts
The Code applies in all Net Impact contexts, including:

  • Online forums, chat, and messaging


  • Video calls, webinars, and virtual events


  • In-person events, conferences, and workshops


  • College- or university-sponsored events where Net Impact is represented


  • Social gatherings connected to Net Impact programs


5.4 Rules for Virtual Events
During virtual events, participants must:

  • Engage respectfully and avoid disruptive behaviours


  • Avoid excessive self-promotion or unrelated marketing


  • Limit promotional messages shared during events


  • Comply with moderator instructions


Net Impact may mute, block, or remove participants from any event to protect the safety and quality of the experience. Removal may occur without prior warning if necessary.

5.5 Prohibition on Harassment
Net Impact strictly prohibits harassment in any form. Harassment includes, but is not limited to:

  • Offensive comments related to gender, gender identity or expression, sexual orientation, disability, mental health or neurodivergence, race, ethnicity, nationality, age, physical appearance, socioeconomic status, religion, political affiliation, or any other protected characteristic


  • Unwelcome comments about personal lifestyle choices (e.g., food, parenting, employment)


  • Deliberate misgendering or deadnaming


  • Physical contact or simulated contact without consent


  • Threats of physical or psychological violence


  • Encouraging self-harm or suicide


  • Intimidation or stalking


  • Harassing photography, recording, or targeted online tracking


  • Repeated disruption of sessions, talks, or discussions


  • Unwanted sexual or romantic attention


  • Off-topic or gratuitous sexual content


  • Patterns of excessive or intrusive communication


  • Continued one-on-one contact after being asked to stop


  • “Outing” any aspect of someone’s identity without consent


5.6 Additional Examples of Prohibited Harassment
This includes behaviour predicated on protected characteristics, such as:

  • Slurs, epithets, or degrading remarks


  • Offensive jokes (verbal, written, or digital)


  • Menacing or threatening behaviour


  • Discriminatory verbal, graphic, or physical conduct


5.7 Diversity, Inclusion, and Accountability
Net Impact expects all members to support a diverse and inclusive community.
Members must:

  • Treat everyone fairly and equitably


  • Take responsibility when mistakes occur


  • Listen respectfully if someone expresses harm or offense


  • Work to resolve concerns with care and accountability


Net Impact does not tolerate discrimination based on protected characteristics, including disability.

5.8 Reporting Violations
If you experience or witness unacceptable behaviour, you must report it as soon as possible.
Reports can be submitted to: hr@netimpact.org

A report should include:

  • Your contact information


  • Names or identifiers of individuals involved (including witnesses)


  • A clear description of what occurred


  • Any relevant links, screenshots, or supporting material


  • Whether the situation is ongoing


5.9 Investigation Process
After a report is filed:

  • A Net Impact representative will contact the reporting party


  • The incident will be reviewed and investigated


  • Those involved may be asked for additional information


  • If the subject of the report is part of the response team, they will be recused


  • Confidentiality will be maintained to the extent possible, except where disclosure is necessary to ensure safety


5.10 Protection Against Retaliation
Retaliation against anyone who reports misconduct or participates as a witness in good faith is strictly prohibited.
Any suspected retaliation should be reported immediately to support@netimpact.org.

5.11 Consequences for Violations
Violations of the Code of Conduct may result in:

  • Warnings


  • Moderation of participation


  • Removal from events


  • Suspension of account benefits


  • Loss of leadership roles


  • Account suspension or termination


  • Exclusion from future opportunities or programs


These actions may be taken at Net Impact’s sole discretion.

5.12 Amendments to the Code of Conduct
Net Impact may update or amend this Code at any time. Members are responsible for reviewing updated guidelines to remain in compliance.

6. Member Directory, AI Tools, and Community Features (Opt-In Required)

To use specific features of Net Impact’s Services—including the AI-supported member directory, mentorship visibility, and member-highlight content—you must provide express consent at registration or within your account settings.
The checkbox to provide this consent is blank by default, and you must actively select it to opt in.

You may withdraw consent at any time as described in Section 6.5.

6.1 AI-Supported Member Directory and Search Tools

When you opt in, your profile will be included in Net Impact’s AI-supported member directory and search tools. This allows other members to find you based on your expertise, interests, and general location.

If you opt in, Net Impact may display the following information:

  • Your name


  • Job title and organization


  • General location (e.g., city or region)


  • LinkedIn profile URL (if provided)


  • Net Impact Community Platform (NICP) profile link


  • Profile photo (from LinkedIn or NICP, if provided)


  • Skills, sectors, interest areas, and short bios submitted through onboarding


  • Information you choose to share in your member profile


Net Impact will not add external information into your directory profile without your consent.
Only data you provide to Net Impact or link through NICP/LinkedIn may appear in directory features.

6.2 Mentorship, Job Shadowing, and Member Outreach

If you opt in, Net Impact may highlight your profile for mentorship-related opportunities, including:

  • Job shadowing


  • Informational interviews


  • Career coffee chats


  • Peer mentoring


  • Student-to-professional matching


  • Chapter leader and professional network recommendations


Your profile may appear in search results, curated lists, and member matching tools.
Other members may contact you through NICP, LinkedIn, or other channels you explicitly choose to share.

You remain free to accept, decline, or ignore any outreach.

6.3 Use of Profile Photo and Details in Member Marketing and Discovery Features

If you opt in, Net Impact may use your name, profile photo, and limited profile details in member-facing marketing and discovery features, such as:

  • Email campaigns showcasing members in similar cities, sectors, or interest areas


  • In-product prompts recommending members you may want to meet


  • Dynamic “people like you” suggestions


  • Chapter-specific outreach and highlight messages


These uses are limited to Net Impact’s own communications and programs.
Your information will not be used to suggest endorsement of any third-party product, service, or sponsor without separate, explicit consent.

6.4 Member Highlights, Website Profiles, and Digital Walls

If you opt in, Net Impact may feature your:

  • Name


  • General role


  • City or region


  • Profile photo


in the following contexts:

  • Member spotlights on the Net Impact website


  • Rotating “digital wall” content within community spaces


  • Highlight sections in newsletters or event materials


  • Case studies or chapter-leader recognition


  • Internal celebrations of volunteer or program contributions


If a feature requires additional biography, quotes, interviews, or substantive participation beyond surface-level recognition, Net Impact will request additional consent.

6.5 Managing Preferences and Withdrawing Consent

You can manage or revoke your opt-in at any time by:

  • Updating email communication preferences using the link in any Net Impact email


  • Adjusting community preferences within your NICP account settings


  • Turning off specific features in the Net Impact App or onboarding settings


  • Emailing support@netimpact.org with a request to change or withdraw your consent


You may request that Net Impact:

  • Remove your profile from the AI-supported member directory


  • Exclude you from mentorship and connection suggestions


  • Stop using your name, photo, or profile details in marketing or member-highlight features


  • Update your communication preferences


  • Suppress your profile from personalized “recommended” lists


Net Impact will act on opt-out requests within a reasonable period of time, though limited data may be retained for legal compliance, security, or core account administration.

6.6 Limitations and Member Responsibilities

You must ensure the accuracy of the information you provide.
Net Impact is not responsible for outdated, misleading, or incomplete information supplied by members or sourced from their linked accounts.

Directory, matching, and AI-supported features should be used constructively and respectfully.
Using these tools to solicit unrelated commercial activity, collect data, or engage in harassment violates the Code of Conduct and may result in account restrictions or termination.

7. Use of the Net Impact App, AI Tools, and Digital Services

7.1 Scope of Digital Services
This section applies to your use of all Net Impact digital environments, including:

  • The Net Impact App


  • AI-supported tools, including Nia


  • The Net Impact Community Platform (NICP)


  • Online directories and search tools


  • Account dashboards, learning tools, and event modules


  • Any websites or digital services operated by Net Impact


These tools are provided to support member engagement, career development, networking, and mission-aligned learning.

7.2 Non-Advisory Nature of AI Tools
AI-supported tools (including Nia) provide informational, educational, and community-oriented support.
They do not provide:

  • Legal advice


  • Financial advice


  • Medical or health guidance


  • Mental health or psychological care


  • Professional services requiring certification


You are responsible for independently evaluating any content generated by AI tools.
Net Impact does not guarantee accuracy, completeness, or suitability of AI-generated responses.

7.3 Acceptable Use Requirements
You agree to use Net Impact’s digital tools only for lawful and community-appropriate purposes.
You must not:

  • Use AI or platform features to generate harmful, misleading, or abusive content


  • Attempt to obtain personal information about other members except through features intentionally provided for networking


  • Circumvent, disable, or interfere with security, moderation, or access controls


  • Reverse engineer, decompile, extract, or attempt to obtain underlying models, source code, or proprietary algorithms


  • Scrape or harvest data from any Net Impact system, member directory, or AI interface


  • Upload or input content that violates intellectual property rights or confidentiality obligations


  • Use automated means (bots, crawlers, scripts) to interact with Net Impact systems without permission


Violation of these rules may result in suspension or termination of your account.

7.4 Content You Submit
You may input text, audio, messages, images, or other content while using the Services (“User Content”).
You agree that:

  • You own or have permission to use any User Content you submit


  • You will not submit content that infringes on the rights of any third party


  • You are responsible for the truthfulness, accuracy, and legality of all content you provide


Net Impact may remove or restrict content that violates these Terms.

7.5 License Granted to Net Impact
To operate and improve the Services, you grant Net Impact a limited, worldwide, royalty-free license to:

  • Process, store, reproduce, and transmit User Content as needed to deliver the Services


  • Use User Content to provide features such as messaging, search, AI-generated responses, and community interaction


  • Enforce safety, security, and policy compliance


  • Produce aggregated or anonymized insights and analytics


Net Impact does not use your User Content to train open, public, or third-party AI models.
All processing occurs under the Privacy Policy.

7.6 System Integrity and Security
You may not attempt to:

  • Probe, scan, or test the vulnerability of any Net Impact system


  • Introduce malware, viruses, or harmful code


  • Interfere with server operations or network infrastructure


  • Engage in load testing or stress testing without explicit approval


Any attempt to compromise system integrity may result in immediate termination.

7.7 Accuracy and Reliability of Digital Services
Net Impact strives to provide reliable tools but does not guarantee that:

  • The Services will be uninterrupted or error-free


  • AI outputs will be accurate, complete, or free from bias


  • Messages, posts, or profile information will always be delivered or displayed correctly


  • Any specific networking, matching, or career outcome will be achieved


You acknowledge that all digital tools are provided on an “as available” basis and may evolve over time.

7.8 Updates and Feature Modifications
Net Impact may modify, suspend, or discontinue any digital feature at any time, including:

  • AI capabilities


  • Search and directory tools


  • Program modules


  • Event features


  • App functionality


Where reasonably possible, Net Impact will provide notice of material changes.

7.9 Data Handling and Privacy
All use of the Services is subject to the Net Impact Privacy Policy.
Features involving AI, personalization, member directories, marketing, or mentorship visibility operate only with your consent as outlined in Section 6.

7.10 Third-Party Integrations
Certain features rely on third-party platforms, including:

  • Higher Logic (NICP)


  • LinkedIn (SSO/login)


  • Payment providers (for professional account fees)


  • Event or learning software


Your use of those platforms may be subject to additional terms from third-party providers.

8. Intellectual Property

8.1 Ownership of Materials
All content made available through the Net Impact Services—including text, graphics, logos, videos, course materials, AI-generated explanations, community resources, directories, software, and design elements—is the property of Net Impact, its licensors, or Whitelabel AI Corporation (as the technology provider for certain digital features).
All rights not expressly granted to you in these Terms are reserved.

8.2 License to Use the Services
Subject to your compliance with these Terms, Net Impact grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Services for personal, educational, and professional development purposes;


  • View, download, and print materials solely for your individual, non-commercial use in connection with Net Impact programming;


  • Participate in community discussions, events, and AI-supported tools as intended.


This license does not permit redistribution, resale, copying for commercial use, data extraction, or training third-party AI systems.

8.3 Restrictions on Use of Net Impact Content
You may not:

  • Republish, distribute, or publicly display Net Impact content without prior written permission;


  • Use any portion of the Services to develop or train competing products, AI models, or commercial offerings;


  • Modify, adapt, translate, or create derivative works based on Net Impact or Whitelabel materials;


  • Remove or obscure copyright, attribution, or trademark notices;


  • Use Net Impact’s branding, marks, or logos without written approval.


8.4 Ownership of User Content
You retain ownership of any content you submit, upload, or create through the Services (“User Content”). As described in Section 7, you grant Net Impact a limited license to process and use User Content solely to provide and improve the Services and to support community features.

Net Impact does not claim ownership of your personal profile information, onboarding selections, posts, or messages.

8.5 Feedback and Suggestions
If you submit ideas or suggestions regarding features, improvements, or programs (“Feedback”), you acknowledge that:

  • Net Impact has no obligation to compensate you;


  • Net Impact may use the Feedback without restriction;


  • Feedback does not create any form of partnership, employment, or joint venture.


8.6 AI-Generated Content and Outputs
AI-generated explanations, recommendations, and summaries produced by Net Impact’s digital tools are provided for your personal use within the Service.
You may not:

  • Represent AI output as human-generated expert advice;


  • Use AI-generated content for commercial purposes without permission;


  • Publish large-scale excerpts of AI-generated content in ways that replicate the Services.


Net Impact, and where applicable Whitelabel AI Corporation, retains all intellectual property rights in the underlying technologies, prompts, pipelines, and systems that generate such content.

8.7 Third-Party Intellectual Property
Certain materials, data, or integrations available within the Services may be owned by third parties (including Higher Logic, LinkedIn, payment processors, learning platforms, or partner organizations).
Their use is subject to the terms of those providers, and you agree not to infringe upon any third-party rights while using the Services.

8.8 Claims of Copyright Infringement
If you believe that material available through the Services infringes your copyright, you may submit a notice to: support@netimpact.org

Your notice must include:

  • A description of the copyrighted work claimed to be infringed;


  • Identification of the allegedly infringing material;


  • Your contact information;


  • A statement of good-faith belief that the use is not authorized;


  • A statement made under penalty of perjury that the information is accurate;


  • Your physical or electronic signature.


Net Impact may remove or disable access to the material after review.

9. Member Conduct and Code of Conduct

9.1 Overview
As a Net Impact member, you are expected to uphold the standards of professionalism, respect, and integrity that reflect Net Impact’s mission and values. These requirements apply whenever you interact with Net Impact programs, chapters, online communities, events, platforms, or AI-supported tools. Violation of this Code may result in suspension or termination of account, removal from events, loss of leadership roles, or other actions deemed appropriate by Net Impact.

9.2 General Expectations
Members must:

  • Conduct themselves respectfully and professionally.


  • Treat peers, staff, speakers, partners, students, and volunteers with courtesy.


  • Engage constructively in discussions, including when disagreements arise.


  • Follow all laws, regulations, and (for students) their institution’s own Code of Conduct or similar guidelines.


  • Represent Net Impact accurately when speaking about Programs or partner organizations.


  • Maintain a safe, inclusive, and harassment-free environment (see Section 9.4).


Members are encouraged to balance participation—making space for others, engaging thoughtfully, and contributing to a collaborative environment.

9.3 Virtual Events and Online Participation
The Code of Conduct applies equally to virtual, hybrid, and online environments, including:

  • Webinars, workshops, conferences, and livestreams


  • Community platforms, chats, messaging tools, and AI-supported spaces


  • Social events associated with Programs


During virtual events, members must:

  • Refrain from excessive self-promotion or commercial solicitation


  • Avoid posting irrelevant or disruptive content


  • Follow facilitator instructions and event guidelines


Net Impact reserves the right to restrict chat access, remove participants, or block accounts when necessary to maintain a safe environment.

9.4 Prohibited Harassment and Misconduct
Net Impact strictly prohibits all forms of harassment, including but not limited to:

(a) Protected Characteristics
Offensive, discriminatory, or hostile conduct related to:

  • Gender, gender identity or expression


  • Sexual orientation


  • Disability or mental health


  • Neurodiversity


  • Physical appearance or body size


  • Race, ethnicity, or national origin


  • Age


  • Political or religious affiliation


  • Any other legally protected characteristic


(b) Unwelcome Conduct
Examples include:

  • Comments regarding lifestyle choices (food, health, parenting, employment, etc.)


  • Deliberate misgendering or deadnaming


  • Unwelcome physical contact or simulated contact


  • Sexual or romantic advances


  • Off-topic or gratuitous sexual content or imagery


  • Stalking, intimidation, doxxing, or sustained unwanted communication


  • Threats of harm, including encouragement of self-harm


  • Logging or recording others for harassment purposes


  • “Outing” any aspect of a person’s identity without consent


  • Disrupting discussions or intentionally derailing events


  • Assumption of inappropriate familiarity or intimacy


(c) General Misconduct
Prohibited behaviors also include:

  • Slurs, epithets, derogatory jokes, or menacing behavior


  • Threats or encouraging violence


  • Any conduct predicated on protected characteristics


  • Any behavior that creates a hostile, unsafe, or exclusionary environment


9.5 Commitment to Diversity and Inclusion
Net Impact is committed to fostering an inclusive community. Members are expected to:

  • Treat all participants fairly and respectfully


  • Take responsibility when mistakes occur


  • Listen carefully and work to resolve harm


  • Avoid discriminatory behavior in all forms


  • Support participation from people of all backgrounds, disciplines, and identities


Net Impact does not tolerate discrimination against participants with disabilities or any other protected group.

9.6 Reporting Violations
If you experience, witness, or are affected by unacceptable behavior, report it to:

support@netimpact.org

Reports should include:

  • Your contact information


  • The names (or usernames) of the individuals involved


  • A description of what occurred and whether it is ongoing


  • Any relevant links, screenshots, or documentation


  • Names of any witnesses, if applicable


Net Impact will:

  • Treat all reports discreetly


  • Assign a conflict-free reviewer if the subject of the report is involved


  • Investigate and determine appropriate action


  • Inform you if confidentiality limits the investigation


Retaliation for good-faith reporting or participation in an investigation is strictly prohibited.

9.7 Rights and Enforcement
Net Impact reserves the right to:

  • Investigate any violation of this Code


  • Remove a member from Programs, events, or platforms


  • Suspend or terminate account


  • Revoke benefits, roles, or chapter leadership positions


  • Block access to online services or AI-supported tools


Net Impact may amend this Code of Conduct at any time. Members are responsible for reviewing updates periodically.

10. Account Billing, Payments, Renewals, and Refunds

10.1 Account Types
Net Impact offers several account categories, which may include professional account, student account, chapter-affiliated account, complimentary accounts, and special access programs. Features, pricing, and eligibility may vary by tier and will be described at the point of registration. Net Impact may modify account offerings or pricing in accordance with applicable law.

10.2 Payment Processing
account payments are processed by third-party providers, which may include Stripe, Braintree, Authorize.net, app-store billing systems, or other processors. By submitting payment information, you authorize Net Impact and its processors to charge the applicable account fee to your chosen payment method.

10.3 Accuracy of Billing Information
You must provide accurate, complete, and up-to-date billing information. Failure to maintain valid payment details may result in suspension or termination of account benefits.

10.4 Automatic Renewal (Monthly and Annual Plans)
Unless stated otherwise at checkout, Net Impact accounts renew automatically at the end of each billing period (monthly or annually). By enrolling in a account, you consent to automatic renewal at the applicable rate and authorize ongoing charges to your payment method unless you cancel.

10.5 Renewal Notifications for Annual Plans
If you purchase an annual account, Net Impact will provide advance notice of your upcoming renewal. You will receive a reminder at least 30 days before your renewal date, which will include:

  • The scheduled renewal date


  • The renewal price


  • Instructions on how to cancel


Your annual account will renew for an additional 12-month term unless you opt out before the renewal date by updating your account settings in the Net Impact Community Platform (NICP) or emailing support@netimpact.org at least 24 hours prior to renewal.

10.6 How to Cancel account
You may cancel automatic renewal at any time by:

  • Cancelling via Apple App Store or Google Play (if purchased in-app)


  • Emailing support@netimpact.org


Cancellations take effect at the end of the current billing period. Access to paid features will continue until that date.

10.7 Refund Policy
Except where required by law, Net Impact does not offer refunds for partial billing periods, unused time, mid-cycle cancellations, or purchases made in error.
Refunds may be granted at Net Impact’s discretion for:

  • Proven technical issues preventing use of the Services


  • Duplicate or fraudulent charges


  • Billing errors attributable to Net Impact or its processors


Refunds for purchases made through app stores must be requested directly from those platforms.

10.8 Promotions, Discounts, and Chapter Codes
Net Impact may offer promotional pricing, chapter-leader discounts, or institutional billing arrangements. Promotions are non-transferable, have no cash value, and may include eligibility conditions. Misuse may result in suspension or reversal of discounted pricing.

10.9 Taxes
Applicable taxes may be added based on your billing location and legal requirements. You are responsible for all taxes except those Net Impact is obligated to withhold or remit.

10.10 Suspension for Non-Payment
If a payment fails and is not corrected within a reasonable period, Net Impact may suspend access to account benefits or terminate the account.

10.11 Changes to account Fees
Net Impact may adjust account fees from time to time. Where required by law, Net Impact will notify you in advance of any fee increase. If you do not agree to the adjusted fees, you must cancel before your next renewal.

You agree to use the Services in a lawful, respectful, and responsible manner.
The term “Services” includes all Net Impact websites, community platforms, account systems, digital tools, AI-supported features, mobile applications, virtual events, and any Whitelabel-powered technologies made available to members.

You may use the Services only for personal, educational, or professional development purposes consistent with Net Impact’s mission.

12.2 Prohibited Uses

You may not use the Services in any way that:

(a) Violates the Law
Including but not limited to violations of:

  • Privacy or data-protection laws


  • Intellectual property laws


  • Anti-discrimination or harassment laws


  • Export-control or sanctions regulations


(b) Harms or Attempts to Harm the Services or Other Users
Including:

  • Attempting to disrupt, disable, or interfere with platform functionality


  • Introducing malware, viruses, bots, or harmful scripts


  • Attempting unauthorized access to systems, accounts, or data


  • Circumventing security controls, rate limits, or content moderation


  • Attempting to bypass account or paywalls


(c) Harasses, Abuses, or Exploits Other Users
Examples include:

  • Harassment, threats, discrimination, or hate speech


  • Unwanted messages or persistent unwanted communication


  • Stalking or attempts to identify anonymous users


  • Collecting personal information about others without consent


(d) Misuses AI-Supported Features
You may not:

  • Attempt to generate harmful, discriminatory, or abusive content


  • Use AI content to provide false, misleading, or deceptive information


  • Use AI features to impersonate others


  • Attempt to extract underlying model data, prompts, or system instructions


  • Use outputs to build or train competing products or AI models


  • Attempt to override safety filters or moderation systems


(e) Violates Intellectual Property Rights
Including:

  • Uploading or sharing content you do not own or have rights to


  • Reproducing or distributing Net Impact content without permission


  • Using the Services to scrape, extract, or copy large datasets or member profiles


(f) Commercial or Promotional Misuse
You may not:

  • Solicit members for unrelated commercial purposes


  • Promote products, services, events, or fundraising unrelated to Net Impact


  • Conduct marketing, lead generation, or business development targeting members


  • Use the directory as a marketing list or for mass outreach


(g) Reverse Engineering and Automated Access
You may not:

  • Reverse engineer, decompile, disassemble, or analyze platform code


  • Attempt to discover underlying algorithms, models, or proprietary logic


  • Use bots, crawlers, scrapers, or automated tools to access or extract information


  • Engage in high-volume automated queries, scraping, or harvesting


(h) Impersonation or Misrepresentation
You may not:

  • Create an account using false information


  • Pretend to be another member, staff, institution, or organization


  • Misstate your affiliation, identity, or authority


12.3 Member Account Responsibilities

You are responsible for:

  • Maintaining the security of your login credentials


  • Ensuring that access to your account is not shared with unauthorized users


  • Notifying Net Impact immediately of any suspected unauthorized access


  • All activity occurring through your account


Net Impact is not liable for loss or damage arising from your failure to secure your account.

12.4 Enforcement and Consequences

Net Impact may, at its sole discretion, take action in response to violations of this Section, including:

  • Warning or notifying the user


  • Removing content


  • Temporarily suspending access


  • Permanently terminating account


  • Blocking access to the Services


  • Referral to law enforcement where required


Net Impact is the final arbiter of what constitutes acceptable use.

13. Content You Provide (User Content License)

13.1 Definition of User Content
“User Content” includes any information, text, images, links, bios, posts, messages, submissions, or other materials you upload, submit, or otherwise make available through the Services.
This includes, without limitation:

  • Profile and onboarding information


  • Directory and community posts


  • Event submissions or chat messages


  • AI-chat interactions (inputs and outputs)


  • Uploaded documents, links, or media


You are responsible for ensuring that all User Content complies with these Terms and applicable law.

13.2 Your Ownership of User Content

You retain all ownership rights in your User Content.
Nothing in these Terms transfers ownership of your content to Net Impact or any third party.

However, to operate the Services, Net Impact requires a limited license from you, described below.

13.3 License You Grant to Net Impact

By submitting User Content, you grant Net Impact a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

  • Host, store, reproduce, display, and distribute your content


  • Process your content to operate, maintain, and improve the Services


  • Provide community features, search, personalization, and recommendations


  • Enable use of AI-supported tools (e.g., Nia, directory matching, content surfacing)


  • Moderate content in accordance with our Code of Conduct


This license is strictly limited to providing and improving Net Impact Services and does not permit Net Impact to commercially sell or exploit your content.

If a feature requires additional permissions (e.g., publication of a case study or interview), Net Impact will request separate consent.

13.4 License for Safety, Compliance, and Operational Needs

You also grant Net Impact permission to use your User Content to:

  • Detect and prevent fraud, abuse, security threats, or code-of-conduct violations


  • Comply with legal obligations, subpoenas, or enforcement requests


  • Safely operate and maintain the Services’ technical infrastructure


Such uses occur only as required and in accordance with the Privacy Policy.

13.5 Restrictions and Representations

By submitting User Content, you represent and warrant that:

  • You own the rights to the content or have permission to submit it


  • Your content does not infringe any third-party rights


  • Your content complies with the Acceptable Use Policy and Code of Conduct


  • Your content is accurate to the best of your knowledge


You agree not to upload content that is unlawful, harmful, harassing, discriminatory, defamatory, or otherwise violates these Terms.

13.6 Public, Private, and Semi-Public Areas

Depending on context, User Content may be:

  • Public (e.g., community posts, spotlight features)


  • Semi-public (e.g., NICP discussions visible only to signed-in members)


  • Private (e.g., direct messages, support tickets)


Net Impact will not publish private communications without your consent unless required by law or to enforce the Terms.

13.7 AI Interactions and Generated Output

When you interact with Net Impact’s AI-supported tools, including Nia:

  • Your prompts (inputs) are treated as User Content


  • Outputs are licensed to you for personal, non-commercial use


  • You may not present outputs as certified expert advice or official Net Impact positions


  • You may not reuse outputs to train competitors’ models or tools


Net Impact and its technology providers maintain all intellectual property rights in the systems that generate AI outputs.

13.8 Removal of User Content

You may delete certain types of content directly via your account.
For other removal requests, contact support@netimpact.org.

Net Impact may also remove or restrict content if:

  • It violates these Terms or the Code of Conduct


  • It poses a legal, security, or reputational risk


  • It infringes intellectual property rights


  • It is requested by lawful authority


Net Impact is not required to store or return removed content.

13.9 Termination of License

The license you grant to Net Impact ends when:

  • You delete the relevant User Content, or


  • You delete your account entirely


However, Net Impact may retain:

  • Backup copies for a limited period


  • Content necessary for legal compliance


  • Content already used in anonymized, aggregated analysis


  • Content that formed part of community discussions where removal would be impractical or disrupt other users’ contributions


14. Third-Party Services and Integrations

14.1 Overview
The Services may contain links, integrations, or connections to platforms, tools, and services operated by third parties (“Third-Party Services”). These may include:

  • Identity and profile platforms (e.g., LinkedIn, Google)


  • Community platforms (e.g., Higher Logic)


  • Payment processors (e.g., Stripe, Braintree, Authorize.net, app stores)


  • Event and ticketing systems


  • Analytics, support, hosting, and security vendors


  • Whitelabel AI Corporation’s technology stack, where applicable


Your use of Third-Party Services is governed by the terms and privacy policies of those providers, not by Net Impact.

14.2 No Control Over Third-Party Services

Net Impact does not:

  • Control third-party websites, platforms, or applications


  • Guarantee their accuracy, reliability, or performance


  • Endorse, warrant, or assume responsibility for any third-party content, offerings, or actions


Any transaction, interaction, or dispute between you and a Third-Party Service is solely between you and the provider.

14.3 Data Sharing with Third-Party Services

Certain features of the Services may allow or require limited data sharing with Third-Party Services, for example:

  • Logging in or connecting through LinkedIn or Google


  • Processing payments through a payment gateway


  • Synchronizing profile or community activity with Higher Logic


  • Providing AI functionality through Whitelabel’s infrastructure


  • Registering for events via external platforms


Net Impact will only share the minimum data required to enable the feature and will do so in accordance with the Privacy Policy.

You are responsible for reviewing the privacy practices of any Third-Party Service before enabling an integration.

14.4 Third-Party Accounts and Authentication

If you choose to connect your Net Impact account to a Third-Party Service:

  • You authorize Net Impact to obtain, store, and use information from those accounts according to your settings and permissions.


  • You confirm that you have the legal right to access and use the linked account.


  • You acknowledge that Third-Party Services may update their own terms without notice to Net Impact.


If a Third-Party Service experiences an outage or terminates your access, Net Impact is not responsible for resulting impacts on your account or Services.

14.5 Links to External Websites

The Services may provide links to external websites for convenience, information, or educational purposes.
Net Impact is not responsible for:

  • Content hosted on external websites


  • Privacy practices or data handling by third parties


  • Availability, safety, or security of external websites


  • Any interactions or transactions you choose to undertake on those websites


Your use of external websites is at your own risk.

14.6 Whitelabel AI Corporation Technologies

Portions of Net Impact’s digital tools, including but not limited to AI-supported features, chat interfaces, recommendation systems, and personalization infrastructure, may be powered by Whitelabel AI Corporation.

Net Impact remains the data controller for account data and determines how such technologies are used within the Services.
Whitelabel AI Corporation operates as a contracted service provider, and its use of data is limited to fulfilling the Services on behalf of Net Impact and in accordance with the Privacy Policy.

You acknowledge that some functional components of Net Impact’s Services rely on Whitelabel infrastructure and may be subject to their operational dependencies.

14.7 No Liability for Third-Party Services

To the maximum extent permitted by law, Net Impact is not liable for:

  • Losses or damages caused by Third-Party Services


  • Failures, errors, or outages within third-party platforms


  • Security incidents originating from Third-Party Services outside Net Impact’s control


  • Actions or omissions of third-party vendors or service providers


Your sole remedy for issues arising from Third-Party Services is through those providers.

14.8 Removal or Suspension of Integrations

Net Impact may modify, suspend, or discontinue access to any Third-Party Service integration at any time, including when required by:

  • Technical or security concerns


  • Changes to third-party terms


  • Contractual or licensing obligations


  • Operational or strategic adjustments


Where practical, Net Impact will provide notice of significant changes.

15. Termination and Suspension

15.1 Right to Terminate Your account
You may terminate your Net Impact account at any time by:

  • Cancelling your subscription or renewal through your account settings in the Net Impact Community Platform (NICP)


  • Cancelling through your app store provider (if applicable)


  • Emailing support@netimpact.org with a request to close your account


Termination will take effect at the end of your current billing period unless otherwise required by law.
Once termination is complete, your access to member-only content, communities, Programs, and AI-supported tools will end.

15.2 Net Impact’s Right to Suspend or Terminate Accounts
Net Impact may suspend or terminate your account, access to the Services, or use of any platform feature at any time, with or without notice, if:

  • You violate these Terms, the Code of Conduct, or any Program rules;


  • You engage in harassment, discrimination, or harmful behavior;


  • You misuse community features, AI tools, or the member directory;


  • You fail to maintain valid billing information or make required payments;


  • You engage in fraudulent, abusive, or unlawful activity;


  • You compromise the security, integrity, or performance of the Services;


  • We are required to comply with legal, regulatory, or enforcement obligations; or


  • Your actions present a risk to Net Impact, members, partners, or the public.


Net Impact has sole discretion to determine what constitutes a violation.

15.3 Immediate Removal in High-Risk Situations
Net Impact may immediately restrict, block, or terminate your access without prior notice where necessary to:

  • Prevent harm to other members


  • Protect the integrity or security of the Services


  • Comply with legal or safety requirements


  • Respond to credible reports of harassment or abuse


  • Address behavior that threatens Program safety or community wellbeing


15.4 Effect of Termination
Upon termination:

  • Your license to use the Services ends immediately


  • Access to member-only features, programs, and directories ceases


  • Future renewals or billing will be stopped


  • Content you have posted may be retained or removed according to Sections 13 and 16


Certain obligations survive termination, including:

  • Intellectual property restrictions


  • Acceptable use rules


  • Indemnification provisions


  • Limitations of liability


  • Dispute resolution terms


15.5 No Liability for Suspension or Termination
To the maximum extent permitted by law, Net Impact is not liable to you or any third party for:

  • Suspension or termination of your access to the Services


  • Loss of data or content following termination


  • Loss of account benefits, Program eligibility, or community standing


  • Any consequential losses arising from enforcement actions under these Terms


15.6 Reactivation
In some cases, Net Impact may allow a suspended or terminated member to apply for reinstatement.
Reinstatement is at Net Impact’s sole discretion and may require additional information, safeguards, or agreement to specific conditions.

15.7 Account Deletion Requests
If you request full deletion of your account (as opposed to canceling a subscription), Net Impact will:

  • Begin processing your deletion according to the Privacy Policy


  • Remove or anonymize personal data as legally permitted


  • Retain only the data required for legal, operational, or safety reasons


Deletion requests may take up to the time periods outlined in the Privacy Policy.

16. Disclaimers and No Warranties

16.1 General Disclaimer
The Services are provided for educational, networking, and professional development purposes only.
Net Impact does not guarantee any specific outcomes relating to career advancement, mentorship connections, event participation, or member-to-member interactions.

All use of the Services is at your sole risk.

16.2 No Professional Advice
The Services may include informational content, community discussions, and AI-generated insights.
These should not be considered:

  • Legal advice


  • Financial advice


  • Medical or mental health advice


  • Career or employment guarantees


  • Any form of certified expert guidance


AI-supported features (including Nia) may provide general-purpose explanations or suggestions, but they do not replace professional judgement.
You are solely responsible for evaluating any information before taking action.

16.3 Services Provided “As Is” and “As Available”
To the fullest extent permitted by law, Net Impact (and its service providers, including Whitelabel AI Corporation and Higher Logic) provides the Services:

  • “As is”


  • “As available”


  • Without warranties of any kind, express or implied


Net Impact makes no warranties that:

  • The Services will be uninterrupted, timely, secure, or error-free


  • Directory results, recommendations, or AI-generated content will be accurate, complete, or reliable


  • Events, Programs, or digital features will meet your expectations


  • Data stored within the Services will always remain accessible


  • Community interactions will be safe, respectful, or free of misconduct by other members


16.4 No Warranties for Third-Party Services
Net Impact does not warrant:

  • Any Third-Party Service integrated into or linked from the platform


  • Payments processed by external vendors


  • Identity or profile information originating from LinkedIn, Google, or other authentication providers


  • Any content or tools provided through Higher Logic, Whitelabel AI systems, or event platforms


Each Third-Party Service is provided under the terms of its respective provider.

16.5 No Guarantee of Availability
Features, Programs, events, and digital tools may change or be discontinued at any time.
Net Impact does not guarantee:

  • Continued availability of any particular feature


  • Ongoing access to archived content, chats, or resources


  • Perpetual availability of AI tools, recommendations, or matching systems


Net Impact may modify or retire parts of the Services without liability to you.

16.6 No Responsibility for User Content
Net Impact is not responsible for:

  • The accuracy, completeness, legality, or reliability of User Content


  • Any actions or statements made by other members


  • Communications or interactions you have with other members, online or offline


  • Decisions you make based on community discussions, advice, or recommendations


Members are solely responsible for their own content and conduct.

16.7 No Guarantee of Security
While Net Impact implements reasonable and appropriate safeguards, no online service is completely secure.
Net Impact does not warrant that:

  • The Services will be free from viruses, malware, or harmful code


  • Unauthorized access will never occur


  • Data breaches, disruptions, or outages will never happen


Your use of the Services involves inherent risks that you accept.

17. Limitation of Liability

17.1 General Limitation
To the fullest extent permitted by law, Net Impact, its affiliates, board members, officers, employees, volunteers, contractors, chapter leaders, partners, and its technology providers (including Whitelabel AI Corporation and Higher Logic) shall not be liable for:

  • Any indirect, incidental, special, punitive, exemplary, or consequential damages


  • Any lost profits, lost opportunities, lost data, business interruption, or reputational harm


  • Any damages arising from your use of, or inability to use, the Services


  • Any reliance you place on information, recommendations, or AI-generated outputs


  • Any conduct, content, or actions of other members or third parties


  • Any interactions, communications, or relationships formed through the Services


This applies whether claims are based in contract, tort, negligence, strict liability, or any other legal theory.

17.2 Maximum Liability Cap
To the extent liability cannot be fully excluded, Net Impact’s total aggregate liability for all claims arising out of or relating to the Services shall not exceed the greater of:

  • The amount you paid for your account in the twelve (12) months preceding the event giving rise to the claim, or


  • One hundred U.S. dollars (USD $100)


Even if a remedy fails of its essential purpose, this limitation still applies.

17.3 No Liability for User Actions or Interactions
Net Impact is not responsible for:

  • Actions taken by members outside the platform


  • Inaccurate or misleading information submitted by members


  • Decisions made based on mentorship conversations, community discussions, or AI-generated suggestions


  • Offline meetings, collaborations, interviews, volunteer activities, or professional relationships formed through the Services


Members engage with each other at their own risk.

17.4 No Liability for Technical Issues
Net Impact and its service providers are not liable for any:

  • Service interruptions, outages, or downtime


  • Data loss, corruption, or deletion


  • Delays or failures caused by network issues, device problems, or third-party platforms


  • Errors, omissions, bugs, or unexpected behavior in AI tools, search features, or matching systems


All features are provided “as is” and may change without notice.

17.5 Jurisdiction-Specific Rights
Some jurisdictions do not allow the exclusion of certain damages.
In such cases, the limitations above apply to the maximum extent permitted by law for that jurisdiction.

17.6 Your Responsibilities
You agree that:

  • You use the Services voluntarily and at your own risk


  • You will evaluate information before relying on it


  • You are responsible for your interactions with other members


  • You will take appropriate precautions when meeting or communicating with others


Your use of the Services constitutes your agreement to these limitations.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless:

  • Net Impact


  • Its affiliates, board members, officers, employees, volunteers, and chapter leaders


  • Its contractors and service providers, including Whitelabel AI Corporation, Higher Logic, Finix, and event-platform vendors


from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  1. Your use of the Services, including any content you submit or actions you take on or off the platform


  2. Your violation of these Terms, the Code of Conduct, or applicable law


  3. Your interactions with other members, online or offline


  4. Your misuse of community areas, AI tools, or communication features


  5. Any content or material you upload, publish, or share (including claims of infringement, privacy violations, defamation, harassment, or misuse of personal data)


18.2 Cooperation
You agree to cooperate fully with Net Impact in the defense of any claim that is subject to this Section, including providing relevant information and responding promptly to requests for assistance.

Net Impact reserves the right to assume exclusive control of any matter subject to indemnification.
If Net Impact assumes control, you will still be responsible for reimbursing costs and damages if you are found to be responsible for the underlying conduct.

18.3 No Indemnification for Net Impact’s Own Fault
Nothing in this Section requires you to indemnify Net Impact for its own:

  • Gross negligence


  • Willful misconduct


  • Fraud


  • Violations of applicable law


This clause ensures the provision remains fair and enforceable.

18.4 Survival
Your indemnification obligations continue after:

  • You close your account


  • Your account expires or is terminated


  • You stop using the Services


This ensures ongoing protection for issues arising from your past conduct.

19. Third-Party Services and Integrations

19.1 Use of Third-Party Services
The Services may include links, integrations, or access to services, platforms, or tools operated by third parties (“Third-Party Services”). These may include, but are not limited to:

  • Authentication providers (e.g., LinkedIn, Google)


  • Community platforms (e.g., Higher Logic)


  • AI infrastructure providers (e.g., Whitelabel AI Corporation)


  • Event and webinar platforms


  • Payment processors (e.g., Stripe, Finix, Apple, Google)


  • Analytics or communication vendors


Your use of any Third-Party Service is governed by that provider’s own terms and privacy policy.
Net Impact is not responsible for those policies or practices.

19.2 No Control Over Third-Party Services
Net Impact does not control and is not responsible for:

  • The availability, accuracy, or reliability of Third-Party Services


  • Data practices or security practices of those services


  • Content, recommendations, or interactions that occur within third-party environments


  • Any losses, damages, or issues arising from your use of those services


Links or integrations are provided only as a convenience and do not constitute an endorsement.

19.3 Your Responsibilities When Using Third-Party Services
When using any Third-Party Service, you are responsible for:

  • Reviewing and accepting the service’s own terms


  • Reviewing the service’s privacy and data-handling practices


  • Maintaining your own security (e.g., LinkedIn login security)


  • Ensuring information you share with the Third-Party Service is accurate and appropriate


If you connect your Net Impact account with a Third-Party Service (such as LinkedIn single sign-on), you authorize that service to share relevant information with Net Impact to support login, profile creation, or onboarding.

19.4 Third-Party Payment Providers
account payments, subscription renewals, donations, and event registration fees may be processed by external payment providers.

These providers operate independently from Net Impact.
Net Impact does not collect or store full payment card numbers.

You must comply with the terms of the applicable payment provider.
Net Impact is not responsible for:

  • Failed transactions


  • Billing errors caused by third-party processors


  • Payment-method issues or banking disputes


19.5 Third-Party AI and Platform Infrastructure
Certain Services, including AI-supported features (such as Nia), are delivered using technology infrastructure provided by Whitelabel AI Corporation.

Net Impact does not guarantee the availability, accuracy, or output of these AI systems, and is not liable for:

  • Errors, omissions, or inaccuracies in generated content


  • Interruptions or downtime in AI availability


  • Losses arising from reliance on AI suggestions or responses


Use of AI-powered features remains at your discretion and risk.

19.6 Interactions With Third Parties
Any communication, engagement, or transaction you conduct with third parties—whether members, partners, sponsors, or vendors—remains solely between you and that third party.

Net Impact does not:

  • Guarantee any opportunity, job outcome, mentorship placement, or connection


  • Vet or verify third-party claims or representations


  • Mediate disputes between you and third parties


You interact with third parties at your own risk.

19.7 Changes to Third-Party Services
Third-Party Services may change, discontinue, or update their features at any time.
Net Impact has no obligation to maintain integrations with any third-party provider and may remove or replace integrations at its discretion.

20. Termination and Suspension

20.1 Termination by You
You may terminate your account or close your account at any time by:

  • Updating your settings in the Net Impact Community Platform (NICP)


  • Contacting support@netimpact.org


Termination will end access to member benefits, community tools, AI features, and any Services requiring an active account.

If you terminate a paid account, refunds—if any—will follow the refund policy in Section 10.

20.2 Termination or Suspension by Net Impact
Net Impact may suspend or terminate your access to the Services, in whole or in part, at its sole discretion, for reasons including (but not limited to):

  1. Violations of these Terms


  2. Breaches of the Code of Conduct


  3. Harassment, discrimination, or unsafe behavior toward members or staff


  4. Fraudulent, abusive, or deceptive activity


  5. Misuse of AI tools, directory features, or community systems


  6. Failure to pay account dues or resolve billing issues


  7. Legal or regulatory obligations requiring suspension


  8. Security or risk concerns identified by Net Impact or its technology partners


Where appropriate, Net Impact will attempt to notify you in advance.
However, Net Impact may take immediate action—including instant suspension—if required to protect members, staff, data integrity, or the community.

20.3 Effect of Termination
Upon termination:

  • Your access to the Services will end immediately


  • Your profile may be removed from member directories, search tools, and community areas


  • You will lose access to historical chats, messages, connections, and AI-generated content


  • Event registrations or Program participation may be cancelled


  • Any remaining obligations under these Terms continue to apply (including Sections 17, 18, 23, and 24)


Net Impact may retain limited records as required for legal, financial, or audit purposes, consistent with the Privacy Policy.

20.4 Suspension
Suspension temporarily restricts access while allowing Net Impact to investigate an issue.
Suspended members may lose the ability to:

  • Log in or view community areas


  • Participate in Programs, events, or mentoring activities


  • Use AI-supported features or NICP tools


  • Edit profile or communication preferences


Suspension does not automatically result in termination, but may lead to termination depending on investigation findings.

20.5 No Liability for Termination
Net Impact is not liable to you or any third party for:

  • Ending access to the Services


  • Removing your profile or content


  • Cancelling Program participation


  • Restricting access during investigation


  • Any loss of opportunities or connections resulting from termination


  • Any inability to retrieve User Content after termination or suspension


To ensure compliance and community safety, Net Impact retains full discretion to enforce these Terms.

20.6 Reinstatement
Reinstatement after suspension or termination is not guaranteed.
Requests may be reviewed by:

  • Net Impact staff


  • Human Resources


  • Community managers


  • The relevant Program or Chapter team


Net Impact may require additional information or assurances before restoring access.

21.1 Right to Modify or Update
Net Impact may, at any time and without prior notice, modify, update, enhance, or discontinue any part of the Services.

  • The Net Impact Community Platform (NICP)


  • Event formats, Programs, and learning experiences


  • Directory and search capabilities


  • Communication or messaging functions


  • Website or mobile App functionality


These changes may be driven by member feedback, technical improvements, legal requirements, or operational needs.

21.2 No Guarantee of Continuity
Net Impact does not guarantee:

  • Continuous access to any specific feature or Program


  • Availability of AI functionality at all times


  • Long-term retention of content, archives, or conversation history


  • Ongoing availability of integrations with third-party platforms


  • Continuation of particular community spaces or online groups


Features may be added, removed, or replaced at Net Impact’s discretion.

21.3 Service Interruptions
The Services may be temporarily unavailable due to:

  • Maintenance


  • System updates


  • Security issues


  • Outages from third-party providers


  • Events outside Net Impact’s reasonable control


Net Impact will make reasonable efforts to minimize disruption but does not guarantee uninterrupted service.

21.4 No Liability for Modifications
Net Impact is not liable for:

  • Loss of data caused by feature changes or updates


  • Unavailability of Programs or tools


  • Discontinuation of specific Service components


  • Removal of legacy features or archives


  • Impacts resulting from changes to AI models, prompts, or capabilities


You acknowledge that the nature of digital and community platforms requires ongoing evolution.

21.5 Member Feedback
Net Impact may consider, but is not obligated to adopt, feedback or suggestions about the Services.
By submitting feedback, you grant Net Impact a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate that feedback without obligation or compensation.

22. Changes to These Terms

22.1 Right to Update the Terms
Net Impact may revise or update these Terms from time to time to reflect:

  • Changes in our Services or features


  • Updates to laws, regulations, or industry standards


  • Improvements to member experience


  • New policies related to AI tools, community participation, or Programs


  • Operational or administrative adjustments


The version posted on our website and within relevant platforms will always reflect the most current Terms.

22.2 Notice of Material Changes
If we make material changes to these Terms, we will provide notice through one or more of the following:

  • Email sent to the address associated with your account


  • An in-app notification or banner


  • A notice posted on our website


  • A message through the Net Impact Community Platform (NICP)


The notice will specify the effective date of the updated Terms.

22.3 Effective Date of Changes
Updated Terms will take effect on the date stated in the notice or, if no date is specified, upon posting.
Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

If you do not agree with the updated Terms, you must discontinue use of the Services and may cancel your account.

22.4 Non-Material Updates
Non-material changes (such as clarifications, formatting updates, or minor adjustments) may be made without direct notification. These updates become effective upon posting.

22.5 Version History
Net Impact may maintain version logs or revision summaries for transparency.
The “Last Updated” date at the top of the Terms indicates the most recent revision.

23. Governing Law

23.1 Applicable Law
These Terms, and any disputes arising out of or related to your account or use of the Services, shall be governed by and interpreted in accordance with:

  • The laws of the State of California,


  • Without regard to its conflict-of-laws principles.


Net Impact is headquartered in California, and California law provides a consistent legal framework for nonprofit organisations and digital member services.

23.2 International Users
If you access the Services from outside the United States:

  • You do so at your own initiative


  • You are responsible for complying with local laws that apply to you


  • You agree that U.S. and California law will govern your relationship with Net Impact, subject to any rights you may have under mandatory local consumer-protection laws


Nothing in these Terms overrides non-waivable rights provided under the laws of your country of residence.

23.3 Interpretation
If any provision of these Terms is held unenforceable:

  • The remaining provisions will remain in full force and effect


  • The unenforceable term will be modified only to the minimum extent necessary to make it lawful and enforceable


These Terms constitute the entire agreement between you and Net Impact regarding the Services.

24. Dispute Resolution

24.1 Informal Resolution First
Before initiating any legal action or arbitration, you agree to first attempt to resolve the dispute informally by contacting:

Please include a brief description of the issue and the relief you are seeking.
Net Impact will attempt to resolve the dispute in good faith within 30 days of receiving your notice.

If no resolution is reached after this informal process, you may proceed with arbitration as described below.

24.2 Agreement to Arbitrate
Except for the limited exceptions in Section 24.6, you and Net Impact agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration, not through court proceedings.

This includes disputes relating to:

  • account


  • Community participation


  • AI tools or digital services


  • Payments or billing


  • Your interactions with Net Impact or its partners


  • Any aspect of your relationship with Net Impact


This arbitration requirement applies whether the dispute is based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

24.3 Arbitration Rules and Process
Arbitration will be conducted:

  • By JAMS (Judicial Arbitration and Mediation Services, Inc.)


  • Under the JAMS Streamlined Arbitration Rules & Procedures


  • Before a single arbitrator


  • In Alameda County, California, unless both parties agree to a remote hearing


The arbitrator must be experienced in commercial or nonprofit contract disputes.

Judgment on the arbitration award may be entered in any court with jurisdiction.

24.4 Costs and Fees
Each party will be responsible for its own attorneys’ fees unless the arbitrator determines that a law entitles the prevailing party to recover fees.

Net Impact will pay any arbitration filing or administration fees required by law.

24.5 Class and Representative Action Waiver
To the fullest extent permitted by law, you and Net Impact agree that disputes may only be brought on an individual basis.

You and Net Impact waive any right to:

  • Bring or participate in a class action


  • Bring or participate in a collective action


  • Bring or participate in a private attorney general action


  • Have disputes heard by a jury


The arbitrator may only award relief to the individual party in the arbitration.

24.6 Exceptions to Arbitration
The following types of claims may be brought in court rather than arbitration:

  1. Claims relating to intellectual property rights


  2. Claims for injunctive or equitable relief (e.g., preventing misuse of the Services, protecting member safety)


  3. Claims within the jurisdiction of small-claims courts


Either party may pursue these claims without first participating in arbitration.

24.7 Opt-Out of Arbitration
New members may opt out of the arbitration requirement within 30 days of first accepting these Terms by sending an email to:

with the subject line “Arbitration Opt-Out” and including your:

  • Email associated with your account


  • Statement that you are opting out of arbitration


Opting out affects only you; it does not apply to other members or future revisions to the Terms.

24.8 Survival

25.1 Assignment
